In Montana, the process of dissociation and dissolution of a business depends on the type of entity but generally involves formal steps to end the company’s legal existence. Dissociation refers to the withdrawal or removal of an owner (such as a member of an LLC or a partner in a partnership) from the business, which may or may not trigger dissolution depending on the operating or partnership agreement. Dissolution is the formal process of winding down the business, which includes filing Articles of Dissolution with the Montana Secretary of State, settling debts, distributing remaining assets, and fulfilling any final tax and reporting obligations. Once dissolution is complete, the business is no longer authorized to operate or conduct affairs in the state.
